1. Institutional Eligibility & Account Authority
School accounts may only be initiated by authorized proprietors, board directors, principals, or registered educational administrators. By registering, you warrant and represent that:
- The institution is a bona fide primary, secondary, nursery, or tertiary educational facility, vocational academy, or educational cooperative.
- All administrative information provided (including school name, address, contact phone, and tax/CAC registration) is accurate and verifiable.
- The master account credentials belong to the institutional owner and will not be delegated to unauthorized third parties.
2. Platform Delivery & Service Level Agreement (SLA)
SchoolFees.NG provides a hybrid dual-engine architecture:
Targeted 99.9% availability for online web portals, parent result verification, and automated payment callbacks, hosted on global Cloudflare enterprise edge networks.
The native Windows desktop application operates completely offline without internet connectivity. Bursars can issue POS receipts, record cash, and reconcile ledgers; changes auto-sync to the cloud whenever connectivity resumes.
3. Payment Processing & Settlement Banking Terms
SchoolFees.NG provides bursary invoicing and payment facilitation tools. To maintain strict financial fidelity and CBN compliance:
- Software Provider, Not a Custodial Bank: SchoolFees.NG is an educational technology software suite and does not hold, custody, or manage banking deposits. Electronic collections are routed through licensed payment partners (including Paystack Payments Limited and licensed commercial banks).
- Direct School Settlement:Funds collected from parents via automated debit cards, bank transfers, or student dedicated virtual accounts (DVA) are settled directly into the School's verified Nigerian commercial bank account.
- Settlement Accuracy & Chargebacks: The School is responsible for verifying settlement accounts via live NIBSS resolution under Settings → Payment Settings. The School assumes full responsibility for addressing legitimate fee disputes or chargebacks initiated by parents.
4. Subscriptions, Fees & Perpetual Licensing
The software is provided under three transparent licensing tiers:
* Consumable carrier messaging fees (outbound telco SMS or third-party WhatsApp broadcast credits) are usage-based add-ons billed separately based on telco carrier rates.
5. Institutional Conduct & Anti-Fraud Compliance
To protect parents, students, and school trustees against revenue leakages and insider malfeasance:
- Immutable Audit Logging: The software automatically records all financial events, including receipt voids, invoice cancellations, manual fee waivers, cashier sessions, and staff logins. Schools acknowledge that audit trails cannot be expunged.
- Prohibition of Deceptive Invoicing: Schools shall not issue duplicate or misleading fee invoices to solicit unauthorized funds from parents.
- Credential Confidentiality: Schools must enforce strong password standards for all bursary, admin, and teacher accounts and promptly revoke access for departed employees.
6. Intellectual Property & Restrictions
SchoolFees.NG, its source code, UI designs, algorithms, AI prompting architecture, and offline sync technology remain the exclusive intellectual property of Skoolfin Technologies.
Restrictions on Use:
You agree not to reverse engineer, decompile, disassemble, or extract the source code of the desktop executable, Edge API functions, or cloud sync databases; nor resell, sub-license, or create derivative platforms without prior written authorization.
7. Limitation of Liability & Disclaimers
To the fullest extent permitted by applicable law, SchoolFees.NG and Skoolfin Technologies shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of school profits, business interruption, or data loss caused by unauthorized cashier tampering or failure to maintain local desktop hardware backups.
Our aggregate liability for any claims arising out of or related to this Agreement shall be limited to the total software subscription fees actually paid by the School to SchoolFees.NG in the preceding twelve (12) months.
8. Governing Law & Dispute Resolution
This Agreement is governed by and construed in accordance with the substantive laws of the Federal Republic of Nigeria.
In the event of any controversy or dispute, the parties shall first attempt to resolve the issue amicably through good-faith executive negotiation. If unresolved within thirty (30) business days, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023 of Nigeria.
